1. Acceptance of Terms

By accessing and using SigmaAI, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Platform. SigmaAI reserves the right to refuse service to anyone who violates these terms.

2. Service Description

What SigmaAI Is: SigmaAI is a multi-tenant WhatsApp AI automation platform that enables businesses to build AI-powered chatbots for customer communication. The Platform includes conversation management, knowledge base integration, AI response generation, and business automation tools.

What SigmaAI Is NOT:

  • Not a medical device or medical service provider
  • Not a replacement for professional medical advice, legal advice, or financial advice
  • Not liable for third-party service outages (WhatsApp, Stripe, MCP integrations)
  • Not responsible for Tenant's bot behavior or End User communications

3. Service Tiers & Limitations

SigmaAI offers multiple service tiers (Lite, Starter, Scale, Enterprise) with different feature availability and usage limits:

  • Message Limits: Each tier has a maximum number of inbound/outbound messages per month. Exceeding limits triggers overage pricing.
  • Knowledge Base Capacity: Document storage and retrieval limits vary by plan (measured in MB or number of documents).
  • Feature Gating: Premium features (image triage, advanced analytics, custom AI models) are available only on higher tiers.
  • Support Level: Email support on Lite/Starter; priority support on Scale/Enterprise.

Detailed tier specifications are available in the Tenant Portal. SigmaAI may modify tier features with 30 days' notice.

4. User Eligibility

By using SigmaAI, you represent and warrant that:

  • You are at least 18 years of age
  • You are a valid business entity (company, clinic, organization) authorized to enter contracts
  • Your use of SigmaAI complies with all applicable laws, including GDPR (EU), LGPD (Brazil), HIPAA (if handling healthcare data), and local regulations
  • You have proper consent from End Users to collect and process their data via the bot

5. Acceptable Use Policy

Prohibited Activities: Tenants may not use SigmaAI for:

  • Phishing or Fraud: Deceiving End Users to steal credentials or financial information
  • Harassment or Abuse: Sending threatening, harassing, or abusive messages to End Users
  • Spam: Sending unsolicited bulk messages or marketing without consent
  • Impersonation: Falsely claiming to represent another company or individual
  • Illegal Activity: Facilitating or promoting illegal activities (drug trafficking, human trafficking, terrorism)
  • Security Bypass: Attempting to breach SigmaAI security controls or access unauthorized data
  • Malware Distribution: Distributing viruses, malware, or other harmful code

Tenant Responsibility: Tenants are responsible for all bot behavior and End User interactions. Violations result in account suspension without refund.

6. AI Disclaimer

IMPORTANT: AI responses are generated for convenience only. SigmaAI does NOT provide:
  • Medical Advice: Never rely on the bot for diagnosis, treatment, or medical decisions
  • Legal Advice: The bot cannot provide legal counsel; consult a lawyer
  • Financial Advice: The bot cannot provide investment or financial guidance

Tenant Obligation: Tenants must review AI-generated responses before delivery to End Users and are liable for any harmful or inaccurate output.

AI Limitations: AI models may:

  • Hallucinate or generate false information
  • Misunderstand context or intent
  • Produce biased or offensive output
  • Provide outdated or incorrect information

7. Limitation of Liability

SigmaAI is provided "AS IS" without warranty of any kind.

What SigmaAI Is NOT Liable For:

  • AI errors, hallucinations, or inaccurate responses
  • Data loss or corruption (unless caused by SigmaAI negligence)
  • Third-party service outages (WhatsApp, Evolution API, Stripe, MCP servers)
  • Tenant's bot behavior or End User actions
  • Indirect, incidental, or consequential damages

Maximum Liability: SigmaAI's total liability for any claim is limited to fees paid by Tenant in the 3 months preceding the claim, or $1,000 USD, whichever is greater.

8. Intellectual Property

Tenant IP: Tenant retains all ownership rights in their data, documents, and custom bot configurations.

SigmaAI IP: SigmaAI retains all rights to the Platform software, AI models, algorithms, and underlying infrastructure.

License: SigmaAI grants Tenant a limited, non-exclusive, non-transferable license to use the Platform during the subscription term.

9. Confidentiality

Both SigmaAI and Tenant agree to keep confidential information confidential for 3 years from disclosure. Exceptions include legally required disclosures and information already in the public domain.

10. Payments & Billing

Payment Processing: Stripe handles all billing. By providing credit card information, Tenant authorizes Stripe to charge for subscription and usage fees.

  • Auto-Renewal: Subscriptions automatically renew monthly/annually unless cancelled in the Tenant Portal
  • Overage Pricing: Exceeding tier limits incurs additional charges per the pricing schedule
  • No Refunds: Subscription fees are non-refundable. Partial-period refunds are not available
  • Invoice Disputes: Contact support@sigmaintel.io within 30 days of invoice date

11. Termination

Tenant Termination: Tenant can cancel anytime in the Tenant Portal. Cancellation takes effect at the end of the current billing cycle.

SigmaAI Termination: SigmaAI may suspend or terminate accounts for:

  • Violation of Acceptable Use Policy
  • Non-payment of invoices (30 days past due)
  • Legal or regulatory requirements
  • Security breach or abuse

Data Export & Deletion: Upon termination, SigmaAI will export Tenant data within 30 days and permanently delete within 90 days (except as required by law).

12. Indemnification

Tenant agrees to indemnify and hold harmless SigmaAI from any third-party claims, damages, or legal fees arising from:

  • Tenant's use of the Platform
  • Tenant's bot behavior or messaging
  • Tenant's violation of applicable laws
  • Tenant's intellectual property infringement claims
  • End User complaints related to the bot

13. Governing Law

These Terms of Service are governed by and construed under the laws of Switzerland, without regard to its conflict of law principles. Any disputes arising under these terms shall be resolved through binding arbitration or mediation before escalation to courts.

14. Changes to Terms

SigmaAI may modify these Terms of Service at any time. Material changes will be communicated to Tenants via email with 30 days' notice. Continued use of the Platform after notice indicates acceptance of updated terms. If Tenant does not agree, they may cancel their subscription.
